An inflection point in American energy and manufacturing
Energy demand is growing for the first time in 20 years, driven by surging manufacturing, transportation, electrification, and data centers. Simultaneously, hundreds of billions of dollars are being invested in domestic supply chains for critical minerals and components. Developers and manufacturers will require trillions of dollars in capital to meet growing needs.
Prior to Crux, the capital markets supporting this transformation were opaque, fragmented, and complex. The opportunity
Crux is seeking an experienced attorney to join our growing legal team as Associate General Counsel, Corporate & Commercial. This role is ideal for someone with deep corporate and commercial experience in renewable energy finance and related transactions and markets, ideally combining time at a leading law firm with in-house experience.
This is a unique opportunity to be the second practicing attorney at a fast-growing climate tech company, helping to build and scale a modern legal function from the ground up. The role offers wide breadth, spanning a wide range of corporate and commercial matters, and requires comfort jumping into new challenges and shifting priorities. You’ll work across the intersection of renewable energy, finance, AI, and data, shaping the legal and commercial infrastructure that powers the clean economy.
What you’ll do
Lead negotiations and drafting across a wide variety of commercial agreements (customer, technology, data, partnerships, and vendors) while developing scalable contracting processes, templates, and playbooks.
Provide legal counsel across the product lifecycle to ensure Crux’s technology is compliant, secure, and ethically deployed. Design and maintain policies governing AI, data usage, and responsible innovation.
Assist with compliance programs for Crux’s broker-dealer and investment adviser affiliates, including policies, training, and oversight of regulatory obligations.
Assist with corporate-level financings (debt and equity), M&A transactions, joint ventures and other strategic transactions.
Design and implement Crux’s contract management system (e.g., Ironclad or similar) to centralize, streamline, and track contractual obligations and approvals. Design and build the legal department’s operational infrastructure, including team structure, workflows, tools, and systems, to support the company’s growth and evolving business needs.
Provide counsel to product and engineering teams as a subject matter expert in renewable energy finance, shaping technology and AI tools that make renewable energy transactions more liquid, efficient, and intelligent. An interest in AI, technology, and creative problem-solving to drive innovation in renewable energy financing transactions is a must.
Support corporate governance, equity matters, and internal corporate needs across the parent company and subsidiaries.
Coordinate dispute resolution mechanisms and manage litigation matters as they arise, ensuring efficient, business-aligned outcomes.
Drive data-related legal initiatives supporting Crux’s renewable energy financing markets, including data governance, structuring, licensing, and analytics, to enable smarter, more transparent market operations.
Serve as a trusted partner to leadership and cross-functional teams, translating complex legal and financing concepts into actionable, business-friendly guidance.
What you’ll bring
5-10 years of experience, including a mix of practicing at a top-tier law firm, ideally working on clean energy financing transactions, and in house experience at a renewable energy company.
Be comfortable operating seamlessly between legal and commercial teams and workflows. You might spend one day negotiating an M&A transaction and the next day in a deep dive with our product team designing and implementing an AI due diligence tool.
Built strong internal and external stakeholder relationships in complex environments.
Found ways to turn legal expertise into practical tools, product improvements, or strategic insights, whether at a law firm, in a past in-house role, a tech environment, or side initiatives.
Shown an entrepreneurial mindset by helping get new ideas off the ground, by launching an initiative, shaping go-to-market plans, or creating content or frameworks from scratch.
Worked cross-functionally and independently in fast-moving environments, exercising sound judgment to evaluate risks and make pragmatic decisions informed by business needs.

Benefits
Healthcare: We cover 100% of premiums for employees with a variety of plans on Aetna (nationwide) and Kaiser (WA and California) and subsidize 70% for dependents (total as a group), if relevant.

Holidays: 10 company holidays per year.
Paid time off: 20 days per year.
401k: We support a 401k account but don't have a matching program set up at this time (typical for an early-stage startup).
Parental leave: 16 weeks for birthing parents and 12 weeks for non-birthing parents.
Compensation:
Total cash compensation: $250,000-$300,000 base salary based on experience, 20-30% bonus target based on company and individual performance, and equity in the form of stock options.Opportunity to exceed bonus targets based on team and individual performance.
