Project Context and Scope
The International Organization for Migration (IOM) Bangladesh implements a range of donor-funded programmes in partnership with the Government of Bangladesh and national and local non-governmental organizations (NGOs), hereinafter referred to as Implementing Partners (IPs). These programmes aim to promote safe, orderly and regular migration, strengthen migration governance, and support the sustainable reintegration and welfare of migrants, returnees and vulnerable communities.
With financial support from the Government of Italy, IOM Bangladesh is implementing the project entitled “Bangladesh: Reducing Irregular Migration and Supporting Returnees & Displaced Persons.” The project addresses irregular migration from Bangladesh, particularly along high-risk routes towards Europe, while supporting the sustainable reintegration of Bangladeshi migrants returning from transit and destination countries, including Libya. The project also responds to migration drivers linked to climate change, environmental degradation and livelihood vulnerabilities through integrated community- and individual-level interventions.
In parallel, with funding from Immigration, Refugees and Citizenship Canada (IRCC) under the Migration Cooperation and Engagement Envelope (MCEE), IOM Bangladesh is implementing the project entitled “Strengthening Capacity of the Operational Management of the Ministry of Expatriates’ Welfare and Overseas Employment to Deliver Gender-Responsive Integrated Services for Safe, Regular Migration, and Welfare of Migrants, Returnees, and Communities.” This project focuses on strengthening institutional and operational capacities of the Ministry of Expatriates’ Welfare and Overseas Employment (MoEWOE) and its affiliated agencies to deliver integrated, gender-responsive migration and reintegration services across the migration cycle.
Both projects rely on Four Implementing Partners (IPs) for the delivery of key activities, including community outreach, service delivery, referral mechanisms and reintegration support. In line with IOM’s partnership framework, donor accountability requirements and international good practices, IPs are expected to maintain robust internal governance systems, including effective arrangements for organizational oversight, human resources management, financial management, procurement, internal controls and accountability mechanisms.
The objectives of this assignment are as follows:
To assess whether selected Implementing Partners have adequate internal governance policies, systems and procedures in place.
To assess whether these systems are effectively implemented in practice, beyond documentation.
To determine the level of alignment between IP internal practices, their own rules and procedures, and IOM minimum standards and donor compliance requirements.
To identify governance gaps, fiduciary and operational risks, and areas requiring improvement; and
To provide practical, prioritized recommendations to strengthen internal governance, compliance and risk management of Implementing Partners.
To ensure transparency, accountability and risk mitigation in partnership-based implementation, IOM Bangladesh intends to engage an Individual Service Provider to conduct a structured Internal Governance Process Assessment of selected Implementing Partners under the Italy and IRCC funded projects.
Responsibilities
Under the overall supervision of the designated staff member and in coordination with relevant Programme, Finance, Procurement and Compliance units, the Consultant will undertake the following tasks:
Develop the Assessment Framework and Tools
Design a structured internal governance assessment methodology, including assessment criteria, scoring framework, data collection tools, interview guides and document review checklists.
Prepare and submit an inception report outlining the methodology, workplan and assessment tools for approval.
Conduct Desk Review of Implementing Partner Documentation
Review available governance-related policies and procedures of selected Implementing Partners, including organizational structure, HR policies, financial management systems, procurement procedures, internal control mechanisms and accountability frameworks.
Identify preliminary governance strengths, risks and documentation gaps.
Undertake Field-Level Assessments and Stakeholder Consultations
Conduct key informant interviews with Implementing Partner management and relevant operational staff.
Carry out sample verification of operational and procurement processes to assess practical implementation of governance systems.
Validate findings through triangulation of documents, interviews and operational evidence.
Prepare Individual Governance Assessment Reports
Prepare a detailed Internal Governance Assessment Report for each Implementing Partner, including:
Overview of governance systems and practices;
Identified governance, fiduciary and operational risks;
Level of compliance with IOM minimum standards and donor requirements;
Practical, prioritized recommendations for system strengthening.
Prepare Consolidated Analysis and Present Findings
Prepare a consolidated summary report highlighting cross-cutting governance issues, common risks, systemic gaps and recommended mitigation measures.
Present key findings and recommendations to IOM Bangladesh and relevant stakeholders, incorporating feedback as required.
Ensure Quality Assurance and Confidentiality
Ensure that all assessments are conducted in line with professional audit and governance review standards.
Maintain strict confidentiality of all organizational information accessed during the assignment.

Qualifications
Required Qualifications and Experience
To achieve the above-mentioned objectives, IOM is seeking to engage an Individual Service Provider who meets the following criteria:
Advanced university degree in Public Administration, Governance, Finance, Accounting, Law, Development Studies or related field;
Minimum 7 years of professional experience in organizational governance assessments, audits, compliance reviews or institutional capacity assessments;
Demonstrated experience in assessing NGO governance systems, including HR, finance and procurement;
Strong understanding of donor-funded project compliance and risk management;
Experience working with UN agencies, international organizations or donors is a strong asset;
Ability to comply with IOM financial, procurement and ethical standards;
Strong analytical, report-writing and communication skills in English (Bangla is an asset);
High level of professionalism, integrity and confidentiality.

Notes
IOM covers Consultants against occupational accidents and illnesses under the Compensation Plan (CP), free of charge, for the duration of the consultancy. IOM does not provide evacuation or medical insurance for reasons related to non-occupational accidents and illnesses. Consultants are responsible for their own medical insurance for non-occupational accident or illness and will be required to provide written proof of such coverage before commencing work.
