At COP27 and CMA4, the Conference of the Parties (COP) to the United Nations Framework Convention on Climate Change (UNFCCC) and the Conference of the Parties serving as the Meeting of the Parties to the Paris Agreement (CMA) established funding arrangements to assist developing countries particularly vulnerable to climate change. This decision included the creation of the Fund for responding to Loss and Damage (FRLD), with a focus on providing support to affected nations. 
At COP28 and CMA5, the COP/CMA formally approved the Fund’s Governing Instrument, designating it as part of the UNFCCC’s financial mechanism and placing it under the guidance of both COP and CMA. The decision authorized the FRLD’s Board to secure a hosting arrangement with the World Bank as an interim trustee for four years, which includes hosting the Fund’s secretariat. The World Bank has agreed to act as trustee and administer the Trust Fund in line with the COP/CMA’s stipulations. The FRLD Secretariat, hosted by the World Bank in Washington, D.C., supports FRLD governing bodies, manages institutional relations, aids in strategy, policy, and program development, and oversees management systems. 
The FRLD Secretariat, led by the Executive Director (ED), coordinates FRLD’s strategic activities across its governing bodies, including the Board, and the World Bank (as Trustee and Secretariat host), and other stakeholders. It also drives thought leadership, manages portfolio risk, and develops initiatives to mobilize resources.
Purpose of the Role
The Governance Analyst will support the Program Manager for Board Affairs and Governance by contributing to the design, implementation, and coordination of governance-related and Board operational activities of the Fund. The role combines substantive governance and Board support, including support to Board processes, governance documentation, meeting preparation and follow-up on key actions and deliverables. In addition to core governance duties, the Analyst will support the coordination of cross-cutting operational functions related to participant administration, travel and visa processes, meeting logistics, information technology, data and document management and the practical delivery of Board meetings and related engagements.
Key Responsibilities:
Under the direct supervision of the Secretariat's Board Affairs and Governance (BAG) Program Manager, the Governance Analyst will:
A. Governance and Board Support
• Support the planning and coordination of Board meetings, meetings with the Co-Chairs, Budget Committee meetings, and other Committees of the Board if so created, observer meetings, and related governance engagements, including preparation of agendas, presentations, background briefs, meeting materials and follow-up actions.
• Provide active meeting support during governance discussions by tracking key issues, decisions, action points and emerging needs, and following up with relevant colleagues to help ensure timely delivery of required inputs and outputs.
• Support the preparation, circulation, publication tracking, version control and filing of Board papers, Board decisions, official correspondence and other governance-related documentation.
• Maintain document management systems for governance decisions, meeting records, mailing lists and historical records on the evolution of the Fund.
• Compile and update governance-related tracking tools and support the maintenance of compliance, reporting and follow-up trackers related to Board processes.
• Assist in the planning and facilitation of onboarding, orientation and capacity development sessions for Co-Chairs, Board members, outgoing Board members and advisers.
• Draft briefing materials, speaking notes, summaries, internal memos and related materials to support the ED, DED, Co-Chairs in important engagements, as requested.
• Assist in preparing and reviewing governance documents such as operational procedures, decision templates and compliance guidelines, as needed.
• Perform other governance-related tasks as assigned by the Executive Director or Governance Lead.

Selection Criteria

• Master’s degree or equivalent in a relevant field and at least 2 years of experience in governance, international development, climate finance, public administration, operations support, preferably within a multilateral, UN, or development institution context.
• Exposure to or familiarity with the functioning of multilateral governance bodies (e.g., Boards, steering committees), international conference logistics or global climate frameworks and processes (e.g., UNFCCC, COP) is desirable.
• Strong analytical and writing skills, with demonstrated ability to draft clear, structured documents.
• Strong practice and knowledge of operational logistics, including travel coordination, events, IT support, data management and participant administration, within the World Bank institutional environment.
• Knowledge of governance principles, institutional coordination and compliance frameworks, particularly in international development or climate finance.
• Strong organizational skills and attention to detail, with the ability to manage multiple tasks, deadlines, trackers and parallel workstreams in a fast-paced environment.
• Excellent communication and interpersonal skills, with the ability to engage professionally across cultures and with diverse stakeholders.
• Ability to handle sensitive or confidential information with discretion, sound judgment, and professionalism.
• Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and familiarity with collaborative and workflow tools; 
• Willingness and ability to undertake frequent travel as required.
