1. Organizational Context

The New Development Bank (“NDB” or “Bank”) is a multilateral development bank established to mobilize resources for infrastructure and sustainable development projects. The Legal Department provides expert legal services to ensure the Bank’s activities comply with its Articles of Agreement, policies, guidelines and all applicable internal regulations.

The Professional, Legal (Transactions) provides expert legal counsel across the Bank's transaction and treasury activities. The role sits within the Legal-Transactions team and covers two core pillars: sovereign and non-sovereign transactions (including project finance, corporate finance, equity and guarantees), and treasury and capital markets transactions. The incumbent is responsible for delivering high-quality legal advice and documentation across the full transaction lifecycle, identifying and mitigating legal risk, and contributing to the development of a cohesive, high-performing legal team.

2. Role and Responsibilities

Transactions Legal Advisory

Lead the preparation, drafting, and review of complex legal documentation including loan and investment agreements, intercreditor agreements, guarantee documents, security arrangements, and guarantees for trade finance, in support of sovereign and non-sovereign transactions. Ensure all outputs are consistent with the Bank's policies, templates, and applicable rules.

Treasury and Capital Markets Legal Advisory

Assume responsibility for the legal work related to the Bank's treasury activities, including derivative and repurchase documentation, borrowing programs and bond issuances. Ensure all treasury transactions are properly documented and legally sound in accordance with the Bank's internal rules.

Management of Legal Risks

Identify, assess, and report legal risks arising from transactions and treasury operations. Provide practical advice on risk mitigation strategies to transaction teams and senior management, flagging jurisdictional, enforceability, and structural risks early in the transaction cycle. Coordinate with external counsel on country level and transaction-specific legal opinions as required.

Team Contribution and Development

Contribute to a collaborative and high-performing team culture, assist in mentoring junior legal staff, and drive continuous improvement of the team's processes and legal templates. Participate in cross-functional working groups and departmental initiatives as required.

Perform such other duties and responsibilities as may be assigned from time to time, consistent with the grade and expertise of the role.

3. Position Requirements

Education: A master’s degree or equivalent in law from a reputed university.

Professional qualification: Admission to practice law in at least one of the Bank’s member countries is required.

Experience: Minimum of 5 years of post-qualification, relevant work experience gained in a multilateral development bank or equivalent, a regulated private/public sector financial institution, and/or a leading law firm.

Expertise: Experience drafting and negotiating complex finance documents across multiple jurisdictions. Knowledge and expertise in project finance, loans, equity investment, trade finance, bank guarantees, derivatives, capital raising through the issuance of notes and bonds, and other banking activities.

Competencies: Exceptional strategic thinking, problem-solving, communication, and interpersonal skills. High resilience, drive, and demonstrated ability to foster collaboration in a multi-cultural work environment.
