To support IFC’s activities in the Middle East, Türkiye and Central Asia, Afghanistan and Pakistan (MCT region) as well as in Europe (“EUR”), the IFC Legal Department is recruiting a Legal Analyst, to be based in Istanbul, Türkiye. The position will report to the Assistant General Counsel for Europe, Middle East, Türkiye, Central Asia, Afghanistan and Pakistan.
Amman is one of the regional hubs for IFC for the Middle East, Turkey and Central Asia region. While the position will be based in Amman, the following Terms of Reference will relate to work in the entire two regions described above, allowing rich learning and cross border experience. The Legal Analyst will be a key member of the regional legal team, interacting very closely with our other regional legal and business teams in Istanbul, Dubai, Vienna, Beirut, Bucharest and Warsaw as well as teams in other regions and in Headquarters/Washington DC.

Role Responsibilities:
• Prepare supporting documentation for internal and external matters, i.e. powers of attorney, proxies, signature designations, counsel retainer letters and Article III notices (notifying governments of an IFC investment)
• Proactively assist IFC in-house counsel in preparing and reviewing legal documentation for debt, equity or funds, and prepare routine amendments, consents and waivers.
• Lead small investment transactions under supervision of more senior counsel int eh legal team.
• Assist IFC in-house counsel and investment teams in reviewing confidentiality agreements and other business development documents, and advising in respect of such agreements
• Liaise with IFC external counsel, where required
• Attend to the signing of transaction documents and completion of conditions to disbursement
• Attend to filing of all transaction documents in accordance with IFC guidelines and practices
• Perform routine portfolio administration of IFC’s debt and equity investments
• Assist IFC counsel with general tasks relating to upstream and advisory matters; handle and review transaction documents for IFC’s upstream and advisory program under appropriate supervision by IFC in-house counsel and follow up on the completion of any such agreements with IFC staff
• Support IFC counsel on local currency offerings as well as other IFC treasury products.
• Identify and analyze legal and policy issues associated with investment or upstream/advisory projects.
• Contribute to and support CLED’s Knowledge Management objectives.

• Strong oral and written communication skills in English and Arabic, knowledge of French, Russian and/ or Turkish is a plus
