About this position
We are searching for a Legal Officer position for the Corporate and Infrastructure Legal Division of the Legal Department at one of the IDB Group Country Offices in the Region, focusing on the substantive areas referenced below.
Our Legal Department advises Management, the Board of Executive Directors and the Board of Governors on all legal matters relating to IDB Invest. As part of its functions, the Legal Department provides a full range of legal support to non-sovereign guaranteed operations throughout the entire transaction cycle, including origination, portfolio management, and workouts, and the development of new products. Also, we provide legal advice on all institutional and financial matters for IDB Invest, including governance, financial management, institutional integrity and administration of human resources.
What you’ll do
Your main functions and responsibilities shall include the following, which involve different levels of expertise and complexity depending on your seniority.
- Participate in project teams by providing expert legal advice in the origination, eligibility, due diligence, structuring, drafting, negotiation, documentation, closing and disbursement of NSG lending, guarantee and technical cooperation activities ranging in levels of complexity.
- Provide legal advice on moderate to complex portfolio administration matters, including amendments and waivers of financing documentation, as well as restructurings, workouts and litigation relating to impaired assets.
- Coordinate cross-functionally with Investment Officers as well as Credit Risk, Environmental, Social and Governance, and Portfolio Management groups to ensure effective and efficient deal and post-deal execution.
- Support the drafting and regular updating of model financing documentation.
- Identify creative legal solutions to effectively lead NSG operations ranging in levels of complexity.
- Work collaboratively with attorneys from other multilateral development institutions to address a broad variety of complex legal issues.
- Keep abreast of trends in legal issues across deals. Promote knowledge sharing and creative products and services with relevant stakeholders across IDB Invest.
- Provide legal and strategic advice on the development and interpretation of IDB Invest policies, procedures and products.
- Support the delivery of trainings on matters relevant to NSG operations.
- Coordinate the selection and supervision of outside counsel services in a cost-effective manner.
What you'll need
- Education: Master’s degree in Law (e.g., Juris Doctor, LL.M., or equivalent) from an accredited university, plus admission to practice law in at least one jurisdiction of an IDB Invest member country. You have knowledge and substantive legal experience in both Civil and Common law systems.
- Experience: You have at least 4 years of relevant professional legal experience as an attorney since earning a law degree.
- Language Skills: You are proficient (oral and written) in at least 2 official languages of IDB Invest (English, Spanish, Portuguese and French), with knowledge of Spanish or Portuguese preferred.
In addition to the above, you should have demonstrated professional experience in complex cross-border commercial transactions in one of the following areas:
- Energy and infrastructure project finance, including power, transport, water and/or social infrastructure projects; and/or
- Corporate finance transactions in the agribusiness, manufacturing, telecommunications and/or tourism sectors.
Requirements
Citizenship:
- National Staff: Must be eligible to work in the duty station without the need for sponsorship.
- Third Country National Staff: You do not have legal work authorization and require sponsorship from IDB Invest.
• Consanguinity: You have no family members (up to the fourth degree of consanguinity and second degree of affinity, including spouse) working at the IDB, IDB Invest, or IDB Lab.
Type of contract and duration
National or Third Country National, 36 months initially, renewable upon mutual agreement.
National contract: You are a citizen of a country where we have posted the position or have residency with legal authorization to work.
Third Country National contract: You do not have legal work authorization and require sponsorship from IDB Invest.
Please note that the applicable contract will be determined by the IDB Group. This determination will be based on the location of the position, as well as the selected candidate’s nationality, residency status, and/or authorization to work without the need for sponsorship of the IDB Group in the country of assignment.
