Project background

The Paris Agreement provides a comprehensive framework for signatory Parties to reach an ambitious commitment to limit the increase in global average temperature to well below 2°C, and to pursue efforts to limit the increase to 1.5°C in a cooperative manner. This framework covers a number of instruments including cooperative approaches under Article 6 which allows signatory countries (and private sector entities authorized by these countries) to engage in international carbon transactions. GGGI’s Carbon Finance Department is a global leader in providing technical assistance on Article 6 readiness, strategy development, and implementation, supporting countries to align international carbon market engagement with their Nationally Determined Contributions (NDCs), Long-Term Low Emissions Development Strategies (LT-LEDS), and broader development priorities.

The Carbon Transaction Facility (CTF), launched in October 2024, is one of the primary mechanisms through which GGGI supports its member and partner countries engage in Article 6 carbon trading. The CTF structure has two main pillars: the Article 6 Readiness Facility on one side, and a number of multiple ITMO-purchasing carbon funds on the other. The Article 6 Readiness Facility is a multi-donor fund improving host country readiness through technical assistance and capacity building. The Carbon Funds, on the other hand, are a series of individual funds for initiating Article 6 carbon transactions and purchasing Article 6 The CTF’s carbon funds purchase internationally transferred mitigation outcomes (ITMOs) from host countries on behalf of sovereign buyers. In addition to buying ITMOs, these funds provide technical assistance to facilitate the transaction process, aiming to minimize transaction costs, reduce lead times, and safeguard environmental integrity. Carbon funds provide support in four key areas: (1) Technical Support: Assisting with the design, validation, and verification of mitigation activities. (2) Transaction Preparation: Preparing required documentation, including Mitigation Outcome Purchase Agreements (MOPAs). (3) Transaction Facilitation: Supporting negotiations between governments and mitigation activity proponents. (4) Fund Management: Acting as trustee, GGGI monitors the delivery of ITMOs and prepares relevant reports. GGGI currently manages three Carbon Funds: (1) Article 6 Climate Cooperation Fund (ACCTIF), (2) Norwegian Article 6 Climate Action Fund (NACA), and (3) Singapore Article 6 Carbon Facility (SACF).

Objectives of the assignment

The Global Green Growth Institute (GGGI) supports the development and implementation of innovative climate finance mechanisms that mobilize investment toward low-carbon and sustainable development pathways. Through its Carbon Funds, GGGI engages with public and private sector partners to structure and implement carbon transaction arrangements, including mitigation outcome purchase agreements and related legal instruments.

As the portfolio of carbon market transactions expands, specialized legal support is required to assist in the drafting, review, standardization, and administration of legal documentation associated with carbon transactions. This includes supporting the preparation of term sheets, indicative offers, mitigation outcome purchase agreements (MOPAs), operational guidelines, rules, policies, and other legal instruments that facilitate efficient and compliant fund operations.

GGGI seeks a Legal Consultant to provide legal and contractual support to the Carbon Fund teams and assist in strengthening legal capacity among internal and external stakeholders through the development and delivery of targeted training and knowledge products.

Deliverables and Payment schedule

Under the supervision of the NACA Fund Manager and in close coordination with relevant Carbon Funds and Legal Unit personnel, the Consultant will undertake the following tasks:

  • Support the drafting, review, negotiation, and revision of legal and contractual documents related to Carbon Funds operations, including Term Sheets, Indicative Offers, Mitigation Outcome Purchase Agreements (MOPAs), Letters of Intent, Memoranda of Understanding, confidentiality agreements, amendments, and other transaction-related documents.
  • Assist in the development, maintenance, and standardization of legal templates, model clauses, and contractual documentation to enhance efficiency and consistency across Carbon Funds transactions.
  • Monitor compliance with carbon contracts and ensure that key timelines, including conditions precedent, reporting obligations, audit windows, and ITMO deliveries and payments, are effectively tracked and actioned
  • Review legal documents to ensure alignment with GGGI policies, procedures, governance requirements, risk management frameworks, donor requirements, and other applicable organizational rules and standards.
  • Conduct legal research and analysis on issues related to carbon markets, Article 6 mechanisms, climate finance, carbon transaction structures, and other relevant regulatory and contractual matters.
  • Support due diligence processes and identification of contractual, legal, regulatory, and operational risks associated with carbon transactions and partnerships.
  • Prepare legal memoranda, briefing notes, contract summaries, issue papers, and other analytical materials to support decision-making and transaction management.
  • Support negotiations and discussions with counterparties by preparing contract mark-ups, legal comments, issue trackers, and supporting documentation.
  • Develop and deliver training programs on mitigation outcome purchase agreements and other carbon transaction agreements for internal and external stakeholders.
  • Prepare training materials, presentations, guidance notes, toolkits, and other knowledge products to strengthen stakeholder understanding of carbon transaction structures and contractual obligations.
  • Provide legal and contractual support to Carbon Funds team members and stakeholders by responding to questions related to transaction documentation, contractual requirements, and applicable policies and procedures.
  • Monitor legal, regulatory, and market developments relevant to carbon markets and climate finance and provide updates to the Carbon Funds teams.
  • Support coordination with external legal counsel, government counterparts, project participants, and other stakeholders, as required.
  • Contribute to the continuous improvement of legal processes, document management systems, and knowledge-sharing practices within the Carbon Funds.
  • Perform other legal, contractual, and operational tasks reasonably related to Carbon Funds activities, as assigned by the supervisor.

Expertise required 

  • Bachelor's degree in Law (LL.B. or equivalent) is required.
  • Advanced degree in Contract Law, International Economic Law, Environmental Law, Climate Change Law, International Business Law, or a related field is an asset.
  • Minimum 5 years of relevant professional experience in legal drafting, contract management, or commercial transactions.
  • Experience drafting and reviewing contracts, agreements, and legal memoranda.
  • Experience supporting international organizations, development finance institutions, law firms, government agencies, or private sector organizations is an advantage.
  • Exposure to climate finance, carbon markets, environmental law, energy transactions, results-based finance, or international development projects is strongly preferred.
  • Familiarity with Article 6 mechanisms, carbon credit transactions, and mitigation outcome transfer arrangements would be an asset.
  • Strong legal drafting and analytical skills.
  • Ability to identify and communicate legal and contractual risks.
  • Strong attention to detail and document review capabilities.
  • Experience preparing training materials and conducting capacity-building activities.
  • Excellent legal research and policy analysis skills.
  • Strong proficiency in Microsoft Office applications.
  • Excellent written and spoken English.
  • Additional languages relevant to GGGI member countries are an asset.
