About this position
We are looking for a dynamic and innovative Paralegal who will help us change people’s lives in Latin America and the Caribbean, supporting the Financial Markets and Products Legal Team of the Legal Department (GCL/FML).
The Legal Department (GCL) advises Management, the Board of Executive Directors and the Board of Governors on all legal matters relating to IDB Invest. As part of its functions, the Legal Department provides a full range of legal support to Non-Sovereign Guaranteed (NSG) operations throughout the entire transaction cycle, including origination, portfolio management, and workouts, and the development of new products. Also, we provide legal advice on all institutional and financial matters for IDB Invest, including governance, financial management, institutional integrity and administration of human resources.
The GCL/FML Division provides legal, regulatory, policy and structuring support and expertise in the development and implementation of transactions, products and initiatives for financial intermediaries and corporates across all sectors during the origination, structuring and supervision phase, in areas such as structured financings, trade and supply chain, capital markets, equity and mezzanine financings, and private debt and private equity funds. This division also supports operations of IDB Lab.
What you’ll do
-Assist with drafting and reviewing legal documents related to the Financial Markets and Products Legal Division of IDB Invest and in connection with its operations. This includes issues related to domestic and international transactions, in the origination and portfolio phase, regulatory matters and strategic institutional initiatives and policies.
- Provide support to portfolio administration matters, including amendments and waivers of financing documentation.
- Work collaboratively with GCL members and officers in origination and support teams to address a broad variety of legal and regulatory issues.
- Assist with the development and regular updating of model documentation and maintenance of the Legal Department and the Financial Markets and Products Legal Division knowledge management tools.
- Assist with the procurement of contracting external legal services, liaise with external counsel on transaction, corporate and institutional matters, drafting retainer agreements for contracting external counsel and tracking of external counsel invoices and data.
- Support the administration of projects and initiatives managed by the Financial Markets and Products Legal Division, including the execution, notarization and consularization of documents, and the organization, review and tracking of conditions precedent and subsequent in agreements.
- Coordinate the filing of physical and digital versions of legal documents and records in accordance with IDB Invest’s policies and procedures.
- Conduct research on a variety of matters, including IDB Group policies and procedures, Legal Department opinions, transaction precedents, international best practices for legal and regulatory matters.
- Review or prepare translations of IDB Invest documents for external or internal use as applicable.
- Identify and recommend process improvement opportunities in the paralegal operational area to improve quality and timing of service delivery.
- Promote knowledge sharing and creative products and services with relevant stakeholders across IDB Invest.
- Support with the interpretation of IDB Invest policies, procedures, and products.
- Other activities as agreed with the supervisor.
- Support with GCL’s delivery of training son matters relevant to non-sovereign guaranteed operations.
What you'll need
- Education: You hold a bachelor’s degree from an accredited university. You have knowledge and substantive legal experience in both Civil and Common law systems.
- Experience: At least/Between 2 and 5 years of progressive experience in legal .
- Language: Proficiency in English and one of the other Bank official languages (Spanish, French or Portuguese) is required

• Consanguinity: You have no family members (up to the fourth degree of consanguinity and second degree of affinity, including spouse) working at the IDB, IDB Invest, or IDB Lab.
Type of contract and duration
- National consultant Full-Time, 19 months (up to 48 months, if applicable).
