Department Introduction
This Terms of Reference covers consultancy assignments across all four of GCF’s regional Departments - Africa; Asia-Pacific; Eastern Europe; Central Asia and Middle East ; and Latin America and the Caribbean. These Departments work on origination, pipeline development, and portfolio management across public and/or private sector investments. Consultants engaged under this ToR support leading investments end to end and drive transformative climate adaptation and mitigation impact. Assignments may support any one of the four regional Departments, or work across several of them, according to portfolio need and the Consultant’s experience for an initial period of six (6) calendar months.
Position Objective
The Climate Investment Consultant is responsible for leading operational, analytical, and coordination work across the investment cycle in one of GCF’s four regions, and for driving the development and execution of GCF’s public and private sector portfolios. Reporting to and under the guidance of the relevant Regional Manager, the Consultant acts as project lead on complex, high-value transactions, owning project preparation, financial structuring, due diligence, portfolio monitoring, and investment pipeline development from origination through to approval and implementation. The role carries full autonomy in assessing proposals and can represent GCF with Accredited Entities (AEs).
Duties and Responsibilities
The Consultant will be responsible for but not limited to:
1. Investment, Analytical, and Technical Responsibilities
- Lead the review of concept notes, funding proposals, term sheets, financial models, and due diligence materials in alignment with GCF policies and the investment framework
- Act as transaction lead on complex, high-value and precedent-setting deals, owning structuring, negotiations, risk identification, and internal review processes end to end, including support to presenting to the Investment and Operations Committees.
- Assess strategic alignment, risks, barriers, and financial sustainability, and make and defend clear investment recommendations to senior decision-makers.
- Direct and quality-assure the building of financial models and scenario analyses used for structuring, pricing, tracking portfolio performance, and evaluating investment returns.
- Provide senior technical guidance on the full suite of GCF financial instruments - grants, loans and/or equity, guarantees.
- Oversee the integrity and interpretation of quantitative and qualitative portfolio data supporting performance monitoring, reporting, and risk assessments.
2. Project & Portfolio Management
- Own the project cycle for an assigned portfolio, ensuring timely and accurate progression through internal and external stages of review, approval, and implementation.
- Lead cross-divisional review with internal counterparts (Legal, Risk, E&S, Gender, Portfolio Monitoring, Regional Teams), resolving competing comments and securing alignment.
- Lead adaptive management appraisal and transaction where project changes are needed
- Complete Disbursements in an agreed timeline.
- Review Annual Performance Reports (APRs), disbursement requests, and project performance data, diagnosing issues and deciding on remedial action.
- Act as GCF’s point of contact with AEs, NDAs, DFIs, MDBs, and other partners across the full investment cycle.
3. Engagement & Stakeholder Management
- Convene and direct domain experts, integrating their inputs into investment assessments.
- Own relationships with project counterparts, including supporting negotiations on commercial terms and structuring.
- Support negotiation and drafting of term sheets, financial instruments, and legal documentation with internal and external parties.
- Drive upstream engagement with Regional Teams across all regions, advising AEs and countries on financial structuring and investment design.
4. Research, Strategy & Knowledge Contributions
- Direct market and sector research to shape pipeline development, origination, and strategic prioritization.
- Author thematic briefs, case studies, and lessons learned that set OCIO practice and investment strategy, transferring insight between regions.
- Participate in OCIO initiatives on green finance policy, investment frameworks, and financial innovation aimed at expanding the pipeline and improving execution efficiency.
Deliverables
The Consultant will be expected to produce the following deliverables, with timing and prioritisation agreed with the Regional Manager according to the assigned portfolio and regional work programme:
- Completed technical, financial, risk, and strategic assessments of assigned concept notes and funding proposals, including clear recommendations for internal review, committee consideration, and Board approval where applicable.
- High-quality due diligence packages, investment memoranda, term sheets, financial models, scenario analyses, and supporting documentation for assigned transactions.
- Timely management of assigned projects through the GCF project cycle, including coordination of internal comments, resolution of review issues, and maintenance of accurate pipeline and portfolio records.
- Portfolio monitoring outputs, including analysis of Annual Performance Reports, disbursement requests, implementation risks, remedial actions, and performance trends across the assigned portfolio.
- Committee and management materials, including presentations, briefing notes, decision records, and follow-up actions for Investment Committee, Operations Committee, regional management, and other internal review processes.
- Documented engagement with Accredited Entities, National Designated Authorities, development finance institutions, multilateral development banks, and other partners, including records of negotiations, agreed next steps, and advice provided on structuring and investment design.
Required Qualifications and Experience
- Master's degree in Finance, Economics, Business Administration, Environmental Management, Development Finance, or related field; or Bachelor's degree in a relevant discipline, combined with an additional two (2) years of relevant professional experience, may be accepted in lieu of an advanced degree.
- Minimum three (3) years of relevant professional experience in investment analysis, climate finance, development finance, project finance, or portfolio management, including a substantial track record as project or transaction lead.
- Demonstrated experience leading the structuring and execution of investment instruments (equity, debt, guarantees, grants), including complex or blended structures.
- Expert analytical skills including financial modelling, risk analysis, and portfolio diagnostics, with the ability to quality-assure the work of others.
- Proven project leadership, with a track record of leading multi-disciplinary teams and multiple concurrent workstreams to deadline without supervision.
- Substantial experience working in or with DFIs, MDBs, investment funds, or climate finance institutions is strongly preferred; experience across more than one developing-country region is an advantage.

- All Consultants will sign confidentiality and ethics agreements.
